This Addendum supplements the TalentSync™ Enterprise Terms of Service (the "Agreement").

1. DEFINITIONS

1.1 "Agreement" has the meaning set forth in Section 1.1 of the Enterprise Terms.

1.2 "Automated Decision Tools" means algorithmic or AI-based screening tools incorporated within the Service.

1.3 "Client" has the meaning set forth in the Agreement.

 

2. DECISION-SUPPORT FUNCTION

2.1 Automated Decision Tools are screening aids only and do not independently reject candidates.

2.2 Client retains sole responsibility for final employment determinations pursuant to Section 4 of the Agreement.

 

3. NO WARRANTY OF BIAS ELIMINATION

3.1 TriStarr does not warrant that Automated Decision Tools are free from bias or disparate impact.

3.2 As provided in Section 5 of the Agreement, Client assumes responsibility for monitoring adverse impact.

 

4. CLIENT COMPLIANCE OBLIGATIONS

4.1 Client shall conduct any legally required bias audits.

4.2 Client shall provide legally required notices regarding AI usage.

4.3 Client indemnification obligations for violations are set forth in Section 5 of the Agreement.

 

5. INDEMNIFICATION CROSS-REFERENCE

5.1 Client’s indemnification obligations under Section 5 of the Agreement apply to claims arising from alleged discriminatory impact or failure to comply with AI-related laws.
